By using DealerGrip, you agree to these Terms of Service. Please read them carefully. For SMS-related terms, message and data rates may apply. Reply STOP to opt out of messages. Reply HELP for help. For support contact support@dealergrip.com.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of DealerGrip's platform, website, and services ("Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Description of Services

DealerGrip provides an AI-powered SMS lead follow-up platform for automotive dealerships. The platform enables dealerships to:

Import lead contact lists and send automated SMS messages
Conduct AI-assisted two-way SMS conversations with leads
Schedule appointments and manage lead pipelines
Monitor conversation activity through a web dashboard

3. Dealership Responsibilities and SMS Compliance

As a dealership customer, you are responsible for:

Consent: Ensuring that all leads in your imported lists have provided prior express consent to receive SMS messages from your dealership in connection with their vehicle inquiry
Compliance: Complying with all applicable laws including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and carrier guidelines
Opt-outs: Honoring all opt-out requests immediately. DealerGrip automatically processes STOP requests but you remain responsible for compliance
Data accuracy: Ensuring lead data you upload is accurate and up to date
Prohibited use: Not using DealerGrip to send spam, harassing messages, or messages to individuals who have not consented

4. SMS Program Terms

DealerGrip operates an SMS messaging program on behalf of automotive dealerships with the following terms:

Program name: DealerGrip AI Lead Follow-Up
Message frequency: Message frequency varies based on lead engagement. Typically 1-5 messages per lead per campaign
Message and data rates: Message and data rates may apply to SMS recipients
Opt-out: Reply STOP to any message to opt out of all future messages. You will receive one confirmation message
Help: Reply HELP to any message for assistance or contact support@dealergrip.com

5. Account Registration

You must create an account to use the Services. You agree to provide accurate information and keep your account credentials secure. You are responsible for all activity under your account. Notify us immediately of any unauthorized access at support@dealergrip.com.

6. Fees and Payment

DealerGrip charges a monthly subscription fee. Fees are billed in advance on a monthly basis. You may cancel at any time and your access will continue through the end of the paid period. We do not provide refunds for partial months. We reserve the right to change pricing with 30 days notice.

7. Prohibited Activities

You may not use DealerGrip to:

Send messages to individuals who have opted out or not consented
Send spam, phishing, or deceptive messages
Violate any applicable laws or regulations
Interfere with or disrupt the platform or servers
Attempt to gain unauthorized access to any part of the platform
Use the platform for any purpose other than automotive lead follow-up

8. Intellectual Property

DealerGrip and its licensors own all rights to the platform, software, and content. You retain ownership of your dealership data and lead lists. You grant DealerGrip a limited license to process your data to provide the Services.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. DEALERGRIP DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED MESSAGES WILL ACHIEVE ANY PARTICULAR RESULT. USE OF THE SERVICES IS AT YOUR OWN RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEALERGRIP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES YOU PAID IN THE THREE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless DealerGrip from any claims, damages, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any applicable SMS or marketing laws.

12. Termination

Either party may terminate the agreement at any time. We may suspend or terminate your account for violation of these Terms. Upon termination, your access to the platform will cease and we may delete your data after 30 days.

13. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration rather than in court, except for matters that may be taken to small claims court.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email with 30 days notice. Continued use of the Services after changes constitutes acceptance.
